Terms of Service

1. Acceptance of Terms
By creating an account or using any part of the Overwatch Property Maintenance platform, you agree to these Terms of Service. If you do not agree, please do not use our services. These terms apply to all users including homeowners, clients, and any authorized users of a client account.
2. Service Description
Overwatch Property Maintenance is a property oversight and coordination platform. We act as a coordinator and concierge for property maintenance, connecting homeowners with vetted local service vendors. We do not employ vendors directly and do not perform physical labor ourselves. The platform enables service scheduling, status tracking, communication, and billing management.
3. Account Registration
You agree to provide accurate, current, and complete information when registering. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. Notify us immediately at support@mypropertyoverwatch.com if you suspect unauthorized access.
4. Subscription Billing
The standard residential subscription is $150 per month, billed automatically via Stripe. Billing begins when your account is activated by our staff following your intake submission.
You may cancel your subscription at any time by contacting us. Cancellations take effect at the end of the current billing period. We do not provide prorated refunds for partial months. Overwatch reserves the right to adjust subscription pricing with 30 days written notice.
Individual service jobs (repairs, one-time cleanings, etc.) may be billed separately at rates agreed upon before the work begins. All payment processing is handled by Stripe; we do not store credit card numbers.
5. Vendor Relationships
Overwatch coordinates with independent third-party service vendors. These vendors are not employees or agents of Overwatch. Each vendor is responsible for maintaining their own licensing, insurance, and compliance with applicable law. Overwatch vets vendors before adding them to our network but does not guarantee the quality, safety, or outcome of any individual service.
Any dispute about the quality of work performed must first be raised with Overwatch, who will coordinate with the vendor on your behalf.
6. Limitation of Liability
To the maximum extent permitted by applicable law, Overwatch Property Maintenance shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of the service, even if advised of the possibility of such damages.
Our total liability for any claim arising out of or relating to these terms shall not exceed the amount you paid to Overwatch in the twelve months preceding the event giving rise to the claim.
Overwatch is a coordination and management platform. Ultimate responsibility for workmanship, materials, and physical outcomes rests with the third-party vendor who performed the work.
7. Indemnification
You agree to indemnify, defend, and hold harmless Overwatch Property Maintenance and its officers, directors, employees, and agents from any claims, damages, losses, and expenses (including reasonable attorneys fees) arising from your violation of these terms or your use of the platform.
8. Acceptable Use
You agree not to:
- Use the platform for any unlawful purpose.
- Submit false or misleading information about your property or service needs.
- Attempt to access accounts or data that are not yours.
- Interfere with the operation of the platform or its underlying infrastructure.
- Use the platform to directly solicit vendors outside of Overwatch.
9. Intellectual Property
The Overwatch platform, brand, software, and all associated content are the intellectual property of Overwatch Property Maintenance. You are granted a limited, non-exclusive, non-transferable license to use the platform for its intended purpose.
Content you upload to the platform (such as property photos) remains your property. By uploading, you grant Overwatch a license to store, display, and use that content to provide and improve the service.
10. SMS and Communications Consent
By providing your phone number and submitting an intake form, you consent to receive automated SMS messages from Overwatch Property Maintenance regarding service updates, appointment confirmations, and account notifications. Message and data rates may apply. Message frequency varies based on service activity.
You may opt out of SMS at any time by replying STOP to any message. For help, reply HELP or contact us at (865) 359-0658.

11. Dispute Resolution
These terms are governed by the laws of the State of Tennessee, without regard to its conflict of law provisions.
Any dispute arising out of or relating to these terms or the services shall first be addressed by informal negotiation. If the dispute is not resolved within 30 days, it shall be submitted to binding arbitration under the rules of the American Arbitration Association, conducted in Knoxville, Tennessee. The prevailing party shall be entitled to recover reasonable attorneys fees.
You waive any right to participate in a class action lawsuit or class-wide arbitration.
12. Termination
Either party may terminate the service relationship at any time. Overwatch reserves the right to suspend or terminate accounts that violate these terms, engage in fraud, or create liability for the platform.
Upon termination, your access to the portal will be revoked. Data may be retained per the retention schedule in our Privacy Policy.
13. Changes to These Terms
We may update these terms from time to time. Material changes will be communicated by email to active clients at least 14 days before taking effect. Continued use of the platform after the effective date constitutes acceptance of the updated terms.
